01Acceptance of Terms
By accessing realivant.com or engaging Realivant ("Realivant", "we", "us") for services, you agree to these Terms & Conditions ("Terms") and our Privacy Policy. If you engage us on behalf of a company or organization, you confirm you have authority to bind that organization.
A signed proposal, statement of work, or service agreement between you and Realivant will prevail over these Terms wherever the two conflict.
02Definitions
- "Client", "you" — the individual or organization engaging Realivant for Services.
- "Services" — the work described in Section 3, as detailed in an applicable Proposal.
- "Proposal" — any proposal, quotation, statement of work, or retainer agreement issued by Realivant and accepted by you.
- "Deliverables" — the final work products specified in a Proposal (for example: brand identities, websites, films, product designs, strategy documents).
- "Client Materials" — content, brand assets, data, and information you provide to us for the Services.
03Our Services
Realivant is an AI-native experience strategy studio. Our Services span six connected disciplines:
- Experience Design & Technology — UX strategy, product UI, design systems, and interactive 3D web experiences;
- Brand & Design — naming, identity systems, and brand worlds;
- Content & Storytelling — cinematic brand films, product explainers, and AI-assisted video pipelines;
- Marketing Strategy & Consulting — positioning, go-to-market narratives, and launch strategy;
- Marketing Shared Services — ongoing design, content, and campaign production on retainer;
- Digital Play & AI Integration — interactive learning, gamified experiences, and AI automation.
The specific scope, deliverables, timeline, and fees for any engagement are defined in the applicable Proposal.
04Proposals & Engagement
An engagement begins when you accept a Proposal in writing (email acceptance is sufficient) and, where applicable, pay the initial invoice. Unless stated otherwise in the Proposal:
- Proposals are valid for thirty (30) days from the date of issue;
- Timelines commence on receipt of the advance payment and all required Client Materials;
- Our standard process — discovery, script/storyboard or concept approval, then production — applies to film and content projects, and approved stages are considered sign-offs;
- Estimated timelines assume timely feedback; delays in Client feedback or materials extend timelines correspondingly.
05Client Responsibilities
You agree to:
- Provide accurate briefs, timely feedback, and the Client Materials needed for the Services;
- Ensure you own or have rights to all Client Materials you supply, including logos, images, footage, data, and claims;
- Designate a point of contact authorized to approve work at each stage;
- Review Deliverables for factual, legal, and regulatory accuracy in your industry (particularly for healthcare, pharma, and finance content) before publication.
You are responsible for compliance of published content with laws applicable to your business, including advertising, medical-claims, and financial-promotion regulations.
06Fees & Payments
- Fees are set out in the Proposal. Unless stated otherwise, projects require an advance payment before work begins, with the balance due on milestone or final delivery;
- Retainer fees are billed monthly in advance;
- Fees are exclusive of applicable taxes (including GST), which will be added where required;
- Invoices are payable within the period stated on the invoice; late payments may attract interest and pause of work;
- Advance payments are non-refundable once work has commenced, except as stated in the Proposal or required by law;
- Third-party costs (stock licenses, fonts, plugins, hosting, media spend, AI-generation credits) are billed at cost unless included in the Proposal.
07Revisions & Scope Changes
Each Proposal specifies the number of revision rounds included at each stage. Revisions within the approved scope and round count are included; requests beyond that — or changes to work already approved at an earlier stage — are treated as a scope change and quoted separately before we proceed.
08Intellectual Property
- Deliverables: upon full payment of all fees due, ownership of the final Deliverables specified in the Proposal transfers to you for the uses described in the Proposal;
- Working files, drafts, and rejected concepts remain the property of Realivant unless the Proposal states otherwise;
- Studio methods — our processes, frameworks, templates, code libraries, and know-how — remain ours and may be reused across projects;
- Client Materials remain yours, licensed to us solely to perform the Services;
- Third-party assets (fonts, stock, music, plugins) are licensed under their own terms, which pass through to you.
The Realivant name, logo, website, and self-initiated work (including the Auralis concept project) are the intellectual property of Realivant.
09AI-Assisted Production
We are an AI-native studio: AI tools run through our workflow — research, motion, iteration — multiplying senior craft, never replacing it. In practice this means:
- AI tools may be used in research, ideation, image/video generation, editing, and iteration, always under senior human direction and review;
- Where a Deliverable includes AI-generated elements, we use tools whose terms permit commercial use, and we will tell you which generative tools were material to the work on request;
- If your industry or legal team restricts AI-generated content, tell us before the engagement begins and we will agree the boundaries in the Proposal;
- We do not submit your confidential Client Materials to AI tools that train on user data without your consent.
10Confidentiality
Each party will keep confidential the non-public information it receives from the other and use it only for the engagement. We routinely work under NDA — much of our healthcare and MedTech work is confidential — and we honour those obligations strictly, including after a project ends.
We handle personal data in accordance with our Privacy Policy and applicable law, including India's Digital Personal Data Protection Act, 2023.
11Portfolio & Credit
Unless your Proposal or NDA says otherwise, Realivant may display completed Deliverables in our portfolio, website, social channels, and award submissions, and may identify you as a client. If your work is confidential, we won't show it — that's why several of our engagements are represented only in private walkthroughs or through self-initiated concepts.
12Free Audits & Assessments
Our free offerings — UX Growth Audit, Digital Experience Audit, Product Strategy Workshop, Brand Experience Assessment, and AI Opportunity Assessment — are provided without charge and without obligation, on these terms:
- Audits reflect our professional opinion based on the information available at the time; they are directional guidance, not exhaustive consulting deliverables;
- You are free to act on audit recommendations with or without engaging us;
- Audit documents are prepared for you and may not be resold or republished as your own or a third party's work;
- We may decline or limit free audits at our discretion.
13Third-Party Tools & Hosting
Websites and digital products we build may rely on third-party services — hosting, CMS platforms, fonts, analytics, video platforms, and AI services — each governed by its own terms and pricing. Ongoing costs of such services after delivery are your responsibility unless a maintenance retainer with us covers them. We are not liable for changes, outages, or discontinuation of third-party services.
14Non-Solicitation
During an engagement and for twelve (12) months after it ends, neither party will directly solicit for employment or engagement the other party's team members who were materially involved in the project, without prior written consent. General public job postings are not a breach of this clause.
15Disclaimers
The website and Services are provided on an "as is" basis. While we bring senior craft and a research-led process to every engagement, creative and strategic work involves judgment, and we do not warrant specific business outcomes — such as conversion rates, engagement metrics, funding results, or sales — unless expressly agreed in writing.
Case studies and statistics on our website describe specific past projects and are illustrative, not a promise of identical results.
16Limitation of Liability
To the maximum extent permitted by law, Realivant is not liable for indirect, incidental, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill arising from the Services or the website.
Our total aggregate liability for any claim shall not exceed the fees paid by you to Realivant for the specific engagement giving rise to the claim in the six (6) months preceding the event. Nothing in these Terms limits liability that cannot be limited under applicable law.
17Termination
Either party may terminate an engagement with written notice as set out in the Proposal. On termination:
- You pay for all work completed and costs committed up to the termination date;
- We deliver work completed and paid for as of that date;
- Retainers may be terminated with thirty (30) days' written notice unless the Proposal states otherwise.
Sections on fees owed, intellectual property, confidentiality, non-solicitation, disclaimers, and limitation of liability survive termination.
18Governing Law & Disputes
These Terms are governed by the laws of India. The courts of Bengaluru, Karnataka have exclusive jurisdiction over disputes arising from these Terms, the website, or the Services. Before formal proceedings, both parties agree to attempt in good faith to resolve any dispute through direct discussion for thirty (30) days.
19Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services or applicable law. The "Last updated" date at the top of this page shows the current version. Material changes will be notified by email to active clients or by a notice on the website. Continued use of the website or Services after changes take effect constitutes acceptance.
